These Terms of Service (the “Terms”) govern your access to and use of the SimPath Academy certification-preparation platform available at simpathacademy.com (the “Service”), operated by SimPath Academy (“SimPath Academy,” “we,” “us,” or “our”). Please read these Terms carefully. By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

1. Acceptance of These Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you may not use the Service. We may present an updated version of these Terms from time to time, and your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.

2. About the Service

The Service provides educational courses, study materials, practice questions, and related tools designed to help learners prepare for professional and other certification examinations. The Service is an independent study aid.

  • SimPath Academy is not affiliated with, endorsed by, sponsored by, or otherwise connected to the organizations that administer, own, or grant any certification or examination. All certification names, examination names, and related trademarks are the property of their respective owners and are referenced only to describe the subject matter of our preparation materials.
  • Use of the Service does not guarantee that you will pass any examination, earn any certification, or achieve any particular result. Examination outcomes depend on many factors outside our control.
  • Course content is provided for general educational purposes and is not legal, professional, or compliance advice.

3. Eligibility and Accounts

To use the Service you must be able to form a binding agreement with us. If you are a minor in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use of the Service. Our handling of personal information from children is described in our Privacy Policy.

When you create an account, you agree to provide accurate and complete information and to keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use or suspected compromise of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

  • upload or transmit any malicious code, or any unlawful, infringing, or objectionable material; or
  • use the Service in violation of any applicable law, including the Florida Computer Crimes Act (Chapter 815, Florida Statutes).

5. Intellectual Property

The Service and all of its content, including courses, lessons, assessments, text, graphics, software, and the overall design, are owned by SimPath Academy or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service and its content solely for your own individual, non-commercial study. Redistribution of any content is strictly prohibited. All rights not expressly granted are reserved.

6. Fees and Subscriptions

Some features of the Service may be offered free of charge and others may require payment of fees. Where fees apply, the applicable prices and payment terms will be presented to you before you incur a charge, and you agree to pay all such fees. We may change our fees on a going-forward basis with reasonable notice. Except as required by law or as expressly stated at the time of purchase, fees are non-refundable.

7. Disclaimers

The Service and all content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content is complete, current, or accurate. As stated above, we do not warrant or guarantee any examination or certification result.

8. Limitation of Liability

To the maximum extent permitted by law, in no event will SimPath Academy or its owners, officers, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us for the Service in the twelve months preceding the claim or one hundred United States dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless SimPath Academy and its owners, officers, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination, including intellectual-property rights, disclaimers, limitations of liability, and the governing-law provisions, will survive.

11. Changes to the Service and These Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also revise these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Lee County, Florida, and you consent to personal jurisdiction in those courts.
